Terms of Service
These Terms govern your use of the website operated by VAUGHN RACEWORKS LLC (“Vaughn Raceworks”, “we”, “us”) at www.vaughnraceworks.com (the “Site”). By using the Site you agree to these Terms. If you do not agree, please do not use it.
1. Website only
The Site provides general information about our business. Engineering, fabrication, tuning, telemetry or trackside services are provided only under a separate written agreement or quote, and those terms prevail over these Terms for those services. Nothing on the Site is an offer capable of acceptance. The Site also offers a free MMI Video Converter tool, which is covered by Section 6.
2. Acceptable use
You agree not to:
- use the Site unlawfully or in violation of any applicable regulation;
- attempt to gain unauthorised access to the Site, its server or connected systems;
- introduce malware, scrape the Site at a rate that harms performance, or otherwise interfere with its operation;
- misrepresent your identity or affiliation when contacting us;
- use the MMI Video Converter on content you do not have the right to copy or convert, to circumvent copy protection or any other technical protection measure, or to bypass its size, speed or usage limits.
3. Intellectual property
The Site, including its design, text, graphics, code and the Vaughn Raceworks name and logo, is owned by or licensed to us and protected by intellectual property laws. You may view the Site and share links to it. You may not copy, modify, distribute or create derivative works from it without our prior written permission. Third-party fonts and trademarks belong to their respective owners.
4. Information accuracy
We try to keep the Site accurate and current but make no promise that it is complete, up to date or error-free. Specifications, figures and descriptions are for general information and are not technical advice. Motorsport carries inherent risk; you are responsible for decisions you make about your vehicle, equipment and participation.
5. Third-party links and services
The Site may link to or load resources from third parties. We do not control and are not responsible for their content, availability or practices.
6. MMI Video Converter
The Site includes a free tool (the “Converter”) that converts a video file you upload into formats that may be playable by certain vehicle media systems. By using the Converter you agree that:
- you own the video or have every right and permission needed to copy, convert and download it, and your upload does not infringe anyone’s rights or break any law;
- you will not use the Converter on copy-protected (DRM) content or to get around any technical protection measure;
- you will not upload anything unlawful, harmful or containing malware; and
- you are responsible for the content you upload and for how you use the converted file.
You keep all rights in your content. You give us only the limited permission needed to temporarily store and process it to provide the Converter. We process your file automatically, and we do not review it, share it or use it for any other purpose. Your original upload is deleted when conversion ends, and the converted file is deleted when you download it, when you delete it, or automatically after a short time, as described in our Privacy Policy. We cannot recover a file once it has been deleted.
We also offer a downloadable desktop edition of the Converter. It runs on your own computer and processes your files locally; nothing is sent to us. It relies on FFmpeg, a separate open-source program that is not part of the Site and is licensed by its own authors. These Terms, including this Section 6, apply to the desktop edition too.
The Converter is a convenience tool provided free of charge and “as is”. We do not promise that any converted file will play on any particular vehicle, media-system version or device, that the Converter will be available or error-free, or that output quality will meet your expectations. We may limit file size, length, speed or frequency of use, and may refuse, interrupt or block use at any time.
Audi and MMI are trademarks of AUDI AG. We are not affiliated with, endorsed by or sponsored by Audi. Never watch or operate video while driving, and follow all traffic and other laws that apply to you. You use the Converter and any converted file at your own risk.
7. Disclaimer
The Site is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
8. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of or inability to use the Site. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including for death or personal injury caused by negligence or for fraud.
9. Indemnity
You agree to indemnify us against claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site, to the extent permitted by law.
10. Privacy and cookies
Our Privacy Policy and Cookie Policy explain how we handle personal information and browser storage.
11. Changes and availability
We may change the Site or these Terms at any time. The updated Terms apply from the “Last updated” date, and continued use after that means you accept them. We may suspend or discontinue the Site without notice.
12. Governing law and disputes
These Terms are governed by the laws of Florida, United States, without regard to conflict-of-law rules. The courts of Sarasota County, Venice, Florida, United States of America have exclusive jurisdiction, except that mandatory consumer protection rights in your country of residence are not affected.
13. General
If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and us about use of the Site.
